1. Acceptance of Terms

By accessing or using the NuStandard Labs website (“nustandard.com”) and any associated services (collectively, the “Platform”), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Platform.

2. Research Use Only

All products sold on the Platform are intended strictly for in-vitro laboratory research and scientific investigation. Products are not for human consumption and are not intended to diagnose, treat, cure, or prevent any disease.

By placing an order, you represent and warrant that you will use all purchased products solely for legitimate research purposes in a properly equipped laboratory setting. Any misuse of products is strictly prohibited and may result in account termination and legal action.

3. Eligibility and Age Verification

To purchase products from NuStandard Labs, you must meet all of the following requirements:

• You must be at least 18 years of age.
• You must be affiliated with or acting on behalf of a research institution, university, laboratory, or other qualified scientific organization.
• You must have a valid, verifiable identity and provide accurate account information.

NuStandard Labs reserves the right to request documentation verifying your research affiliation at any time. Failure to provide verification upon request may result in order cancellation or account suspension.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify NuStandard Labs immediately of any unauthorized use of your account.

5. Prohibited Uses

You agree not to use the Platform or any products purchased to:

• Administer to humans or animals outside of approved research protocols.
• Resell, redistribute, or transfer products to unauthorized third parties.
• Misrepresent the nature, purpose, or intended use of products.
• Engage in any activity that violates applicable local, state, national, or international law.

6. Intellectual Property

All content on the Platform — including text, graphics, logos, images, product descriptions, and software — is the property of NuStandard Labs or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without prior written consent.

7. Product Information and Accuracy

NuStandard Labs makes every effort to ensure the accuracy of product descriptions, specifications, and Certificates of Analysis (COAs). We reserve the right to correct any errors, inaccuracies, or omissions and to modify product information at any time without prior notice.

8. Limitation of Liability

To the fullest extent permitted by applicable law, NuStandard Labs, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform or any products purchased, including but not limited to:

• Loss of data, revenue, or profits.
• Damage resulting from misuse or improper handling of products.
• Interruption or failure of the Platform due to circumstances beyond our reasonable control.

Our total liability for any claim related to the Platform or products shall not exceed the amount you paid for the specific product(s) giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless NuStandard Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or misuse of products purchased through the Platform.

10. Dispute Resolution

Any dispute arising from or relating to these Terms of Use or your use of the Platform shall be resolved as follows:

• Informal Resolution First: Before initiating any formal proceeding, you agree to contact NuStandard Labs at support@nustandard.com and attempt to resolve the dispute informally for at least 30 days.
• Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware.
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

12. Modifications to Terms

NuStandard Labs reserves the right to update or modify these Terms of Use at any time. Changes will be posted on this page with an updated “Last updated” date. Your continued use of the Platform after any modifications constitutes acceptance of the revised terms.
