Research Use Agreement

1. Research Use Only

All products sold by NuStandard Labs are intended strictly for in-vitro laboratory research and scientific investigation. Products are supplied as research materials for use by qualified researchers in properly equipped laboratory settings.

Products are not for human or animal consumption. They are not foods, dietary supplements, drugs, cosmetics, or veterinary products. Products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

2. Purchaser Representations

By purchasing products from NuStandard Labs, you represent and warrant that:

• You are at least 18 years of age and legally able to enter into a binding agreement.
• You are purchasing products for legitimate in-vitro research purposes only.
• You are affiliated with or acting on behalf of a research institution, university, laboratory, or other qualified scientific organization, or are an independent researcher with appropriate facilities and training.
• You have the knowledge, training, and facilities necessary to safely handle research chemicals and peptides.
• You will comply with all applicable local, state, national, and international laws and regulations regarding the purchase, possession, handling, and use of research chemicals.

3. Prohibited Uses

You expressly agree that you will not:

• Administer any product to humans or animals outside of approved research protocols governed by an Institutional Review Board (IRB) or equivalent oversight body.
• Market, label, or represent any product as a food, supplement, drug, or cosmetic.
• Resell or redistribute products to any party who does not agree to the terms of this Research Use Agreement.
• Use products for any purpose that would violate applicable laws or regulations.
• Remove, alter, or obscure any labels, warnings, or documentation accompanying the products.

4. Compliance Acknowledgment

During the checkout process, all purchasers are required to affirmatively acknowledge the research-use-only nature of their purchase. This acknowledgment is timestamped and recorded as part of the order record.

This checkout acknowledgment, together with this Agreement, constitutes the purchaser's complete understanding of the intended use restrictions on all NuStandard Labs products.

5. Product Documentation

NuStandard Labs provides a Certificate of Analysis (COA) for every batch of product sold. COAs include:

• Purity analysis results (HPLC and/or mass spectrometry).
• Batch and lot numbers for traceability.
• Identity confirmation.
• Recommended storage conditions.

COAs are provided for quality assurance and research documentation purposes. They are not certifications of fitness for any particular use.

6. Handling and Safety

Purchasers are solely responsible for the safe handling, storage, and disposal of all products. NuStandard Labs assumes no liability for injury, damage, or loss resulting from the handling or use of products after delivery.

Purchasers should follow standard laboratory safety practices, including the use of appropriate personal protective equipment (PPE), and should consult relevant Safety Data Sheets (SDS) for specific handling guidelines.

7. Limitation of Liability

NuStandard Labs provides products as research materials “as is” for laboratory use. To the fullest extent permitted by law, NuStandard Labs makes no warranties, express or implied, regarding the fitness of products for any particular purpose, including but not limited to any therapeutic, diagnostic, or clinical application.

NuStandard Labs shall not be liable for any damages — direct, indirect, incidental, special, or consequential — arising from the use or misuse of products, including use outside the scope of this Agreement.

8. Enforcement

NuStandard Labs reserves the right to refuse sale, cancel orders, suspend accounts, or take legal action against any purchaser found to be in violation of this Agreement. Violations may be reported to appropriate regulatory or law enforcement authorities.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
